Corporate transactions (M&A), financing decisions and other entrepreneurial initiatives as well as regulatory requirements require multiple quantifications of decision bases in the life cycle of a company, for instance:
- In the run-up to and during the implementation of corporate transactions (M&A), initial public offerings (IPOs), joint ventures and financing, business decisions must be made with due diligence. Purchase or sale prices often have to be determined as a basis for negotiation or their financial appropriateness assessed or the financing requirements determined from integrated corporate planning.
- As part of the integration of acquired companies, corporate law measures are regularly carried out that require company valuations or valuations of assets and liabilities. These include structural measures under company law such as control and/or profit and loss transfer agreements, squeeze-outs, mergers, demergers or contributions/capital increases and debt/equity swaps.
